Terms of Use for the Learning Management System (LMS) of Sysmex Europe SE (“Sysmex”)

 

Effective Date: 1 June 2026

 

1. Acceptance of Terms

By accessing or using Sysmex’ Learning Management System (“LMS” or “Platform”), you agree to comply with these Terms of Use and all applicable company policies. If you do not agree, you must not use the Platform.

 

2. Purpose of the LMS

The LMS is provided to:

  • Deliver training programs, courses, and certifications
  • Track learning progress and performance
  • Ensure compliance with mandatory training requirements
  • Support professional development

 

3. User Access and Responsibilities

Access is restricted to authorized users (employees, contractors, or approved third parties).

Users are responsible for:

  • Selecting and using the Services and ensuring they meet their requirements
  • Maintaining confidentiality of login credentials
  • Ensuring all activity under their account is authorized

Accounts must not be shared.

 

4. Acceptable Use

Users agree to:

  • Use the LMS solely for legitimate training and learning purposes
  • Complete assigned training in a timely and honest manner
  • Provide accurate information when completing assessments

Users must not:

  • Attempt to manipulate training results or certifications
  • Upload or share inappropriate, offensive, or unlawful content
  • Interfere with system security or performance

 

5. Training Completion and Certification

  • Certain courses may be mandatory and required for compliance or job performance.
  • Certifications or completions recorded in the LMS are considered official records.
  • Any falsification or misuse may result in disciplinary action.

 

6. Intellectual Property

All content (courses, materials, videos, assessments) is owned by Sysmex or its licensors.

Users may not:

  • Copy, distribute, or reuse content outside the LMS
  • Use materials for commercial or external purposes without approval

 

7. User-Generated Content

If the LMS allows content uploads (e.g., forums, assignments):

Users retain ownership of their content but grant Sysmex a license to use it for training purposes.

Users must ensure content:

  • Does not infringe intellectual property rights
  • Is appropriate and professional

 

8. Data Protection and Privacy

Personal data is processed in accordance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). Data processed may include training progress, assessment results, and usage data. Users have rights including access, rectification, erasure, restriction, and data portability. Data is only processed for legitimate business purposes such as compliance tracking and training optimization.

 

9. Monitoring and Reporting

The company may monitor LMS usage to:

  • Ensure compliance with training requirements
  • Generate reports for management and regulatory purposes

Data may be shared internally with relevant stakeholders (e.g., HR, compliance teams).

 

10. System Availability

The LMS is provided on an “as available” basis.

Sysmex does not guarantee:

  • Continuous or uninterrupted access
  • Error-free operation

 

11. Prohibited Activities

Users must not:

  • Attempt unauthorized access to the LMS or related systems
  • Reverse engineer, modify, or disrupt the Platform
  • Use the LMS for non-training-related activities

 

12. Limitation of Liability

To the extent permitted by law:

Sysmex is not liable for:

  • Indirect or consequential damages
  • Loss of data or training records due to system issues

 

13. Suspension and Termination

Sysmex may:

  • Suspend or terminate access for violation of these Terms and/or Misuse of the LMS
  • Remove user content that does not comply with policies

 

14. Changes to the LMS and Terms

  • The LMS functionality or content may be updated at any time.
  • These Terms may be revised periodically.
  • Continued use constitutes acceptance of updated Terms.

 

15. Cancellation Fee

By registering for a training course, Users agree to pay Sysmex upon request a cancellation fee of 500 Euro as a penalty in the event of a no-show or a cancellation later than 14 days before the start of the training.

In addition, Sysmex reserves the right to pass on any costs incurred due to the no-show or late cancellation (e.g. hotel and transportation cancellation fees).

Users are entitled to prove that no damage was incurred or that the damage was minor.

 

16. Governing Law

These Terms are governed by the laws of Germany. Place of jurisdiction shall be Hamburg, Germany.
